1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and AuraGrid IT Solutions ("we," "us," or "our"), concerning your access to and use of our website as well as any other media form, IT services, cloud solutions, or custom software development provided by us.

By accessing our website or utilizing our services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using our services and must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated or explicitly stated in a specific Service Level Agreement (SLA) or project contract, the website and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

Upon full payment for custom software development services, intellectual property rights for the specific delivered product will be transferred to the client as detailed in the final project contract.

3. Client Responsibilities

When engaging AuraGrid IT Solutions for IT infrastructure, cyber security, or software development projects, you agree to:

• Provide all necessary access to legacy systems, servers, and data required to complete the project.
• Ensure that any third-party software or assets you provide for integration are fully licensed and do not infringe on intellectual property rights.
• Designate a primary point of contact who is authorized to make project decisions, approve milestones, and facilitate communication.

4. Prohibited Activities

You may not access or use our infrastructure or website for any purpose other than that for which we make the services available. As a user of our site and services, you agree not to:

• Attempt to bypass any security measures of the website or our hosted cloud environments.
• Upload or transmit viruses, Trojan horses, ransomware, or other malicious code.
• Systematically retrieve data or other content from our site to create or compile a collection, compilation, database, or directory without written permission from us.
• Use our services to conduct any illegal or unauthorized activities.

5. Service Level Agreements (SLAs) & Support

Post-deployment support, server maintenance, and IT consulting hours are governed by individual Service Level Agreements signed prior to the commencement of the support period. AuraGrid guarantees uptime and response times exclusively as outlined in these specific, signed SLAs.

6. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our IT services, even if we have been advised of the possibility of such damages.

Our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

7. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our site. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the site or generic services.

8. Governing Law

These Terms shall be governed by and defined following the laws of the jurisdiction in which AuraGrid IT Solutions is registered. AuraGrid and yourself irrevocably consent that the courts of this jurisdiction shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
